Terms of Business

  1. The client agrees to pay 50% of the agreed fee prior to work commencing and the remaining balance upon satisfactory completion of the agreed deliverables.
  2. The client agrees to pay 100% of our fee in advance for retained work billed monthly and other work quoted below £5,000.00.
  3. Unless otherwise agreed, all payments should be made within 28 working days.
  4. Quoted fees are subject to VAT at a rate of 20%.
  5. Overdue payments will be subject to interest (8% above base) and a £100 admin fee.
  6. The client undertakes to provide all requested, relevant and pertinent information in a prompt and timely manner, and understands that incomplete information can result in scope creep, project delays and a revised quote.
  7. The client undertakes to inform us at the earliest opportunity of anything that might impact the smooth running and/or scope of the project, e.g. holidays, sickness, other absenteeism, structural changes, changes to the brief, the results of any research conducted, previously unforeseen events, etc.
  8. The client understands that missed milestones/deadlines resulting from poor communication, delays in review and sign-off, or changes to the brief will have a knock-on effect and can result in a revised quote and the project being placed on hold.
  9. Unless otherwise agreed, launch day is effectively completion day (and when the outstanding balance will be due for payment). The client will have 30 days from the completion date to highlight any issues that need to be fixed. Any issues that arise after that snagging and bug fixing period will be subject to further scoping and quoting.
  10. It is the client’s responsibility to ensure all relevant internal stakeholders are identified and properly involved in the process. Failure to do so can result in a revised quote.
  11. The client understands that all time spent on the project (following the initial kick-off meeting) will be billable on an hourly, daily or fixed fee basis. We reserve the right to revise our fee subject to any increase in scope arising from changes to the agreed brief.
  12. Additional work (anything outside the agreed scope) will be billed at an hourly rate (to be confirmed) unless otherwise agreed.
  13. Google AdWords and social advertising click budgets, media spend, print costs, licensing of 3rd party materials, SaaS products, domains, website and email hosting, and any other external costs will either be paid by the client directly or paid to us in advance.
  14. The client will own the rights to the agreed final deliverables in perpetuity. Unless otherwise agreed, we (Cheddar Creative Limited) will retain ownership rights for the Intellectual Property (IP), all working files and any work completed during the course of the project. We reserve the right to use this work in the public domain to promote our services and to recycle any unused concepts for future projects. In the case of a website designed and/or built by us, we will add a subtle ‘Built by Cheddar Creative’ (or similar wording) hyperlinked tag to the footer of the website.
  15. The client undertakes to inform us at the earliest opportunity if any aspect of the work is to be treated with confidentiality and/or under the terms of an NDA.
  16. There is no minimum contract period for retained work billed monthly; however, the client agrees to provide at least one full month’s notice should they wish to cancel any ongoing work. The client will be liable for any outstanding or pre-paid costs accrued in the provision of this work.
  17. We reserve the right to sever the relationship with immediate effect and with no refund due should any information come to light that we feel could place us in an undesirable position ethically, morally or legally.
  18. Both parties have the right to terminate the collaboration at any time and for any reason. At which point, the outstanding fee for any completed work will be immediately payable and the collected fee for any uncompleted work will be refunded. This does not apply to retained work billed monthly, which requires 1 month’s notice for cancellation.
